1. Acceptance of Terms

By accessing or using APEX ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

2. Description of Service

APEX is a stock analysis platform that provides users with portfolio tracking, stock scoring, market data, and related features. The Service is designed to help individual investors make more informed decisions through data-driven analysis.

Important: APEX is an educational and informational tool only. The Service does not provide personalized financial, investment, legal, or tax advice. The APEX Score and other information provided should not be construed as a recommendation to buy, sell, or hold any security.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. You may delete your account at any time by contacting support@cipherequity.com.

4. Brokerage Connections

The Service allows you to connect third-party brokerage accounts. By connecting a brokerage account, you:

  • Authorize APEX to access your portfolio data through the brokerage's API or authorized connection methods
  • Acknowledge that we do not store your brokerage login credentials
  • Understand that connection availability depends on third-party brokerage systems
  • Accept that APEX is not responsible for any actions taken by your brokerage

5. Subscription and Payment

5.1 Free and Paid Plans

The Service offers both free (Basic) and paid (Pro, Premium) subscription plans. Features vary by plan as described on our pricing page.

5.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees incurred.

5.3 Refunds

We offer a 14-day money-back guarantee for new paid subscribers. After this period, payments are non-refundable. You may cancel your subscription at any time, and your access will continue until the end of your billing period.

5.4 Price Changes

We reserve the right to change our prices. We will provide at least 30 days' notice before price changes take effect. Price changes do not affect existing billing periods.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service
  • Scrape, data mine, or extract data from the Service without permission
  • Share your account credentials with others
  • Use the Service to transmit malware or harmful code
  • Reproduce, duplicate, or resell the Service without authorization
  • Use automated means to access the Service without our written consent

7. Intellectual Property

The Service, including its content, features, and functionality, is owned by APEX and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

The APEX Score algorithm, methodologies, and related analytics are proprietary and confidential information of APEX.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any errors will be corrected
  • The APEX Score or any analysis will predict future performance

APEX does not provide investment advice. The APEX Score and all information provided is for educational purposes only. All investing involves risk, including the possible loss of principal.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Investment losses
  • Business interruption
  • Costs of substitute services

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the 12 months prior to the claim.

10. Indemnification

You agree to indemnify and hold harmless APEX, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

11. Third-Party Services

The Service may integrate with or contain links to third-party services (brokerages, data providers, etc.). We are not responsible for the content, policies, or practices of third-party services. Your use of third-party services is at your own risk.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally within 30 days, either party may proceed with formal dispute resolution.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and APEX regarding the Service and supersede all prior agreements and understandings.
